  < Scope of Work >
  Act as in-house legal counsel for the company and its affiliates, company's subsidiaries in Vietnam in respect of industrial estate, real estate ans property, corporate, commercial contract, joint venture, foreign investment, intellectual property, labor and employment, public and private company laws and international transactions, etc.
  
  < Responsibilities >
  1. Act as in-house legal counsel for the company and its affiliates, company's subsidiaries in Vietnam in respect of industrial estate, real estate & property, corporate, commercial contract, joint venture, foreign investment, intellectual property, labor& employment, public &private company laws and international transactions, etc.
  2. Provide legal advice, comment, opinion in terms of all legal issues related to the business of the company and its subsidiaries, company's subsidiaries in Vietnam. In case of there are interest conflicts among these entities, the Legal Manager shall do favor of the company
  3. Negotiate on legal terms and conditions of contracts and any legal documentations, advise on new business ventures and transactional matters.
  4. Review and revise all kinds of commercial contracts and various forms of agreements or legal documentations in both Vietnamese and English which are prepared by Internal Departments/Person in charge.
  5. Draft and prepare Vietnamese and English translations of contracts/agreements/legal documentations under BOD directions.
  6. Coordinate and contact with all internal departments, government authorities and external counsels in Vietnam and overseas;
  7. Support the Company Secretary to complete the Resolution and Minutes of Meeting of BOD/GMS.
